Very different. Both fast but M5 is faster, Audi much more sedate. M5 is a sporting sedan, its like a big M3. Audi is more "comphy" and has the added benifit of all wheel drive.
My wife has an Audi, I have the E34. Hope that this helps.
Jeff

I have owned both cars, 1991 E34 //M5 and now a
94 Audi //S4. Both are good cars, Audi (Volkswagens) are not finished with nearly as much detail as the M5's. If you closely examine an M, they are obsessively designed compassionately down to the neumatic glove boxes. BMW's car jack is like none other.... if you use it right when you are changing a tire.
The M5 is faster, tighter, harder to control then the Audi. The Audi is MUCH more quiet, MUCH MUCH more smooth, and a better car to drive on a long trip or if you want to be able to hear the other passengers like you are in your living room.
The Audi has some nice features you can't find on the E34... Bose stereo, FACTORY hands free phone connected to the stereo, memory seats, and MUCH more rear seat room.
If you are looking for a daily driver, the Audi would probably be your best bet. The Quattro boasts a superior All Wheel Drive system that makes driving in any weather hassle free and a joy. The Audi conserves fuel and the Audi is less expensive to maintain (Hopefully it stays that way).
If you are looking for an exotic sports sedan, nothing can match the M5's reputation, looks, feel, AND brakes.
Take care,
Matt
94 Audi //S4 (maybe another M5 to have as a weekend car too)

: Very different.
