I've replaced it on brother's E46 and it was under
the armrest. I had luck swapping it for used unit and it works perfect, but it's not guaranteed it'll work in every case. If yours is dead, make sure it's actually dead instead of a fuse or no power supply. Before I replaced it, I made sure that it had power supply which was the proof that actual unit was dead.
If you have Bentley, it'll tell you which wire is power supply.

It has to be coded if it's brand new "uncoded"
module. With used one, you just have to make sure that is same part number and close production months.
Before installing used one in my brother's E46, my AutoEnginuity couldn't communicate with module at all. As soon as installed used one, AE was able to communicate with it and it actually showed recorded air bag deployment from the donor vehicle.
It's been working fine for 2 years now.
